FixPilot — Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of FixPilot’s web dashboard, Chrome extension, and iOS app (the “Service”). By using the Service, you agree to these Terms.

The Service; Decision-Support Only

FixPilot provides AI-assisted tools that generate vehicle condition indicators, reconditioning cost estimates, OBD/DTC explanations, and shareable report links (not PDFs). Outputs are estimates and may be incomplete or inaccurate. They are not a substitute for a licensed mechanic’s inspection, any statutory report, or professional advice. You must independently verify results.

Eligibility; Territory (US-Only Offering)

You must be 18+. The Service is directed to users in the United States and not offered or targeted outside the US. If you access from outside the US, you (i) represent you’re permitted to do so, (ii) consent to US processing under these Terms and the Privacy Policy, and (iii) agree we may limit, suspend, or terminate access (and delete data) where required by law or prudent.

Accounts & Responsibility

Provide accurate registration information and keep credentials secure. You are responsible for all activity under your account, including by your personnel.

Plans, Billing, and Auto-Renew

• Subscriptions. Monthly or annual, auto-renewing until canceled.
• Quotas. Per-plan report limits reset each term; no rollover. Fair-use and technical rate limits may apply.
• Pricing. We may change prices with 30 days’ notice; changes take effect at your next renewal.
• No Proration. Downgrades/cancellations are effective at the next renewal; no credit or refund for partial terms.

Trials & Promotions

If offered, trials convert to paid unless canceled before the trial ends. Limits and eligibility may apply.

Refunds & Chargebacks

All fees are non-refundable and non-creditable, including for partial terms, downgrades, or unused capacity, except:

• duplicate charges caused by us; or
• confirmed unauthorized transactions after reasonable investigation.

Chargebacks may result in suspension/termination and recovery of related processing/collection fees. No outage credits apply.

Acceptable Use; Third-Party Sites

You agree not to:

• violate laws;
• upload unlawful/infringing/harmful content;
• attempt to access others’ data;
• interfere with or abuse the Service;
• reverse-engineer or use the Service to build a competitor;
• misrepresent outputs as facts; or
• use automated means to crawl third-party sites.

You are solely responsible for complying with third-party site terms (e.g., marketplaces/auctions). Do not use the Service to bypass paywalls, CAPTCHAs, or other access controls. We are not affiliated with ADESA, Manheim, Copart, IAAI, Cars & Bids, Bring a Trailer, Craigslist, or any marketplace.

User Content & License; Learning from Data

You retain ownership of content you submit (“User Content”). You grant FixPilot a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, process, reproduce, modify, translate, analyze, and create derivative works from User Content to:

• provide and operate the Service;
• maintain security and prevent abuse;
• improve and develop FixPilot products, models, and features; and
• produce de-identified/aggregated insights for any lawful purpose.

Enterprise opt-out. On eligible custom-priced tiers, you may contractually opt out of (iii) by emailing legal@fixpilot.ai; de-identified analytics may still be used.

Outputs; Ownership; Restrictions

As between you and us, you own your report links and their contents, subject to third-party rights and these Terms. You may use outputs for your internal business purposes. You will not remove attribution, nor use outputs to create competing datasets or services.

Report Links — Visibility & Expiration

Reports are viewable by link (unlisted). By default, links auto-expire after 180 days. You may revoke a link earlier or extend its expiration before it expires via your dashboard. Once a link expires, it is permanently disabled and cannot be restored. To share again, you must create a new report/link.

Third-Party Services (No Vendor Listing)

We use service providers for hosting, payments, analytics, email delivery, and cloud AI inference and may change providers at any time without notice. Where controls exist, we configure providers not to train their foundation models on your prompts/outputs. We treat providers as our service providers/contractors under applicable US privacy laws.

Beta/Coming-Soon; No SLA

Features labeled beta or “coming soon” (e.g., team seats, CSV export, API, SSO) are provided as-is and may change or be withdrawn. Support is ticket-based; no SLA unless agreed in a separate writing.

Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Indemnity

You will defend, indemnify, and hold harmless FixPilot and its affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your User Content, your use of third-party sites, or your breach of these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID TO FIXPILOT FOR THE SERVICE IN THAT PERIOD. WE EXCLUDE INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER, AND PUNITIVE DAMAGES.

Termination; Effect

You may cancel anytime; access continues until the end of the current term. We may suspend/terminate for breach, fraud, non-payment, or legal/risk reasons. Upon termination, we may delete or disable access to User Content consistent with the Privacy Policy; archival copies may persist in backups for a limited time.

Governing Law; Arbitration; Class Waiver; Claim Limit

These Terms are governed by Delaware law (without regard to conflicts rules). Binding arbitration in Delaware (AAA, one arbitrator). No class actions or class arbitration. Any claim must be filed within one year after it accrues.

Export Controls & Sanctions

You must comply with applicable export, sanctions, and anti-corruption laws.

Changes to These Terms

We may update these Terms; material changes take effect 30 days after notice (email or in-product). Continued use after the effective date means acceptance.

Miscellaneous

Entire agreement. These Terms plus the Privacy Policy are the entire agreement about the Service.

Assignment. You may not assign without our consent; we may assign in connection with a merger, acquisition, or asset transfer.

Severability/Waiver. If a provision is unenforceable, the remainder remains in effect; no waiver unless in writing.
